Provision of the Hosted Service to Subscriber is subject to the End User License Agreement, which is incorporated herein by reference and available at https://www.riskrecon.com/terms-of-use, as amended from time to time by Mastercard (the “EULA”). Capitalized terms not otherwise defined herein shall have the meaning set forth in the EULA. By accepting this Agreement, Subscriber accepts (i) the terms for the provision of the Hosted Services set forth herein (the “Commercial Terms”); (ii) the EULA; and (iii) the Mastercard Risk Recon Privacy Policy, which is incorporated herein by reference and available at https://www.riskrecon.com/privacy-policy, as amended from time to time by Mastercard (the “Privacy Policy” and together with the Commercial Terms, and the EULA, the “Agreement”).

1. Trial Period

Subscriber shall have access to the Hosted Services for an initial trial period of three (3) months commencing on the Effective Date (the “Trial Period”). During the Trial Period the Hosted Services shall be at no charge.

2. Term

Upon expiration of the Trial Period, this Agreement will continue for an initial term of twelve (12) months (the “Initial Term”) and Subscriber will convert to an annual user pay subscription, unless Subscriber terminates this Agreement by giving Mastercard written notice within the fifteen (15) days prior to the end of the Trial Period. Upon expiration of the Initial Term, this Agreement will automatically renew as provided in Section 2.1.3 of the EULA.

3. Hosted Service and Subscription Fees

If no notice is given for termination of this Agreement, Subscriber will be subject to pay annual and Subscription Fees which are due and payable in monthly installments, upon receipt of the applicable invoice. Subscriber understands that any unused subscriptions may not be used in future periods.

Subscription shall be as per the following Licenses: 75 RiskRecon Discover, 25 RiskRecon Advisor Continuous, 1 RiskRecon Advisor Own Enterprise for a total annual Subscription Fees of Twenty Four Thousand Dollars ($24,000).

All prices are in US dollars and exclude any applicable taxes. Mastercard reserves the right to increase the Subscription Fees annually, after the first year by the greater of (i) CPI change during the then-current recent year and (ii) 3 percent. “CPI” means the CPI-U (Consumer Price Index for All Urban Consumers) Index published by the United States Bureau of Labor and Statistics from time to time, or, if Customer is not headquartered in North America, the closest equivalent for the country or region in which the Customer’s headquarters is located. All Hosted Service unit and total Subscription Fees are based on the quantities indicated in the Subscription Quantity column of the table set forth above. In the case of positive adjustment increases in licensing counts for the active period, equitable adjustment shall be made upon renewal. If in future annual periods, Subscriber desires to reduce any Hosted Service quantity, then both parties agree that the unit and total price are not subject to the above process and will instead be re-negotiated in good faith.
